• Subscription fees are billed in advance on a recurring basis, depending on your plan (monthly or annually)
• All payments are non-refundable unless otherwise specified or required by law
• If we are unable to charge your payment method, we may suspend or terminate your access to the Services
• We may change our subscription fees at any time with at least 30 days' notice before the change takes effect

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period.

5. User Content

Our Services may allow you to upload, submit, store, send, or receive User Content. By providing User Content to or through the Services, you grant Vates AI a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

You represent and warrant that:

• You own or have the necessary rights to use and authorize Vates AI to use your User Content
• Your User Content does not infringe or violate the intellectual property rights or any other rights of any third party
• Your User Content complies with these Terms and all applicable laws and regulations

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

6. Intellectual Property Rights

The Services and all Content provided by Vates AI (excluding User Content) are the property of Vates AI or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, Vates AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes. This license does not include any right to:

• Copy, modify, or create derivative works based on the Services or Content
• Distribute, transfer, sublicense, lease, lend, or rent the Services or Content to any third party
• Reverse engineer, decompile, or disassemble the Services or Content
• Remove or alter any copyright, trademark, or other proprietary rights notices from the Services or Content

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Services for any illegal purpose or in violation of any local, state, national, or international law
• Violating or infringing the rights of others, including intellectual property, privacy, or publicity rights
• Harvesting or collecting email addresses or other contact information of other users from the Services

• Attempting to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services
• Introducing any viruses, Trojan horses, worms, logic bombs, or other malicious code
• Engaging in automated use of the system, such as using scripts to add friends or send comments or messages

8. Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. VATES AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VATES AI DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, RELIABLE, OR COMPLETE, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED.

VATES AI MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, LINKS, OR COMMUNICATIONS PROVIDED ON OR THROUGH THE USE OF THE SERVICES.

9. Limitation of Liability

IN NO EVENT WILL VATES AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT VATES AI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

THE AGGREGATE LIABILITY OF VATES AI TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES OR CONTENT SHALL NOT EXCEED THE GREATER OF (1) THE AMOUNT YOU HAVE PAID TO VATES AI FOR USE OF THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (2) $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vates AI, its affiliates, directors, employees, agents, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your access to and use of the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California for the resolution of any dispute arising from these Terms or your use of the Services.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Vates AI concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Vates AI with respect to the Services.
